TikTok has signed binding agreements that hand half of its new US joint venture to Oracle, Silver Lake and MGX — which means the surveillance fears that targeted a Chinese parent company now circle a very familiar set of tech names.

The deal in five facts

Agreements signed December 2025; close expected January 22
Oracle, Silver Lake and MGX each take a 15 percent share
ByteDance keeps 19.9 percent of the new US app
Affiliates of existing ByteDance investors hold 30.1 percent
A seven-member, majority-American board runs the venture
